Terms and Conditions

Terms and Conditions

These Terms and Conditions govern your use of the The Model Logistics website and our truck dispatch and back-office support services. Please read these Terms carefully before using our website or services.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the website https://themodellogistics.com/ and the truck dispatch and back-office services provided by The Model Logistics (“we,” “us,” or “our”). By accessing our website, requesting a quote, or signing a service agreement, you (“Carrier,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.

Where you sign a separate written service agreement with us, that agreement and these Terms apply together. If they conflict, the signed service agreement prevails for the services it covers.

2. Our Services

The Model Logistics provides dispatch and administrative support to owner-operators and small fleets, which may include:

  • Searching for loads that match your equipment, lanes, and location, and negotiating rates on your behalf.
  • Broker setup, carrier packets, and compliance paperwork.
  • Rate confirmation checks.
  • Load tracking, delay management, and follow-up on detention, lumper charges, and disputes.
  • Prompt submission of proof of delivery and invoices to brokers, shippers, or your factoring company.

We support a range of equipment types, including power only, step deck, flatbed, reefer, and dry van. Services are provided across the United States and may be updated or changed from time to time.

We are a dispatch service, not a motor carrier or freight broker. We do not transport freight, take possession of cargo, or act as the carrier of record. We do not hold your funds. Payment for loads is made by the broker, shipper, or your factoring company directly to you or as you direct.

3. Eligibility and Carrier Requirements

To use our dispatch services, you must:

  • Be at least 18 years old and legally able to enter into a binding agreement.
  • Hold an active Motor Carrier (MC) authority and USDOT number.
  • Maintain insurance that meets broker, shipper, and legal requirements.
  • Provide a completed IRS Form W-9 and, if you use factoring, your Notice of Assignment.
  • Sign our service agreement.

You must keep your authority, insurance, licenses, permits, and registrations valid and up to date throughout our relationship, and notify us promptly of any change, suspension, or lapse.

4. Carrier Responsibilities

You remain solely responsible for your business and operations, including:

  • Deciding whether to accept or refuse any load. We recommend loads; you make the final decision.
  • The safe, legal, and timely operation of your vehicles and equipment, including compliance with hours-of-service, weight, size, licensing, and permit rules.
  • Securing, tarping, strapping, and protecting cargo as required, and maintaining temperature settings for refrigerated freight.
  • Reviewing and approving each rate confirmation before you accept a load.
  • Your drivers, employees, and subcontractors.
  • The accuracy and completeness of documents and information you give us.
  • All taxes, fuel, tolls, maintenance, insurance, and other operating costs.

5. Fees and Payment

Our fee is a fixed percentage of the gross load rate, or another agreed fee structure, as stated in writing in your service agreement before you sign. Unless your agreement states otherwise:

  • There are no setup fees and no hidden administrative charges.
  • Fees apply only to loads you haul through our dispatch service.
  • Fees are calculated on the gross rate shown on the rate confirmation, including any agreed accessorial amounts such as detention or lumper reimbursements, where stated in your agreement.
  • Payment of our fee is due according to the schedule in your service agreement, and may be collected by invoice, deduction, or another method agreed in writing.

Late or unpaid fees may result in suspension of services and may be subject to reasonable collection costs as permitted by law.

6. No Long-Term Contracts

We do not require long-term contracts. Either party may end the relationship by giving notice as set out in your service agreement. Termination does not affect fees owed for loads booked or hauled before the termination date, or any obligation that by its nature should continue after termination.

7. No Guarantees

We work to find suitable loads and good rates, but we do not guarantee any particular number of loads, revenue, rates, income, profitability, or delivery outcomes. Market conditions, broker practices, weather, and other factors outside our control affect freight availability and pricing. Information on our website is for general purposes and is not a promise of specific results.

8. Third Parties

Brokers, shippers, receivers, factoring companies, load boards, and other third parties are independent from us. We are not responsible for their acts, omissions, payment delays, credit risk, or compliance. Any dispute over freight, damage, delay, or payment is between you and the relevant third party, although we will reasonably assist with follow-up as part of our services.

9. Independent Relationship

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship, except that you authorize us to act on your behalf for the limited purposes of load searching, rate negotiation, paperwork, and communication with brokers and shippers as described in your service agreement. We do not control the manner or means of your driving or operations.

10. Website Use

You agree to use the website only for lawful purposes. You must not:

  • Submit false, misleading, or fraudulent information.
  • Attempt to gain unauthorized access to the website, our systems, or other users’ data.
  • Introduce viruses, malicious code, or anything that disrupts the website.
  • Scrape, copy, or reuse website content in a way that infringes our rights.
  • Use the website in a way that violates any law or the rights of others.

11. Intellectual Property

All content on our website, including the name “The Model Logistics,” logos, text, graphics, and design, belongs to us or our licensors and is protected by intellectual property laws. You may view and use the website for your own business purposes but may not copy, modify, distribute, or commercially exploit our content without our written permission.

12. Confidentiality and Privacy

We treat the non-public business information you give us as confidential and use it only to provide our services, except where disclosure is needed to brokers, shippers, factoring companies, service providers, or as required by law. Our handling of personal information is described in our Privacy Policy.

13. Communications

By giving us your phone number, email address, or WhatsApp number, you agree that we may contact you about your enquiry, account, loads, and our services by call, text, email, or messaging apps. You may opt out of marketing messages at any time. Message and data rates from your provider may apply.

14. Disclaimer of Warranties

The website and services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the website will be uninterrupted, secure, or error-free.

15. Limitation of Liability

To the fullest extent permitted by law, The Model Logistics and its owners, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising from your use of the website or services. We are also not liable for cargo loss or damage, accidents, delays, fines, penalties, detention, or non-payment by brokers or shippers.

Our total liability for any claim relating to the services will not exceed the total fees you paid us in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify and hold harmless The Model Logistics and its owners, employees, and agents from any claims, losses, damages, fines, and expenses (including reasonable legal fees) arising from your operations, your breach of these Terms or your service agreement, your violation of law, or the information and documents you provide.

17. Suspension and Termination

We may suspend or end our services or your access to the website immediately if you breach these Terms or your service agreement, lose or let lapse your authority or insurance, provide false information, engage in unlawful or unsafe conduct, or fail to pay fees when due.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith through direct discussion. If that fails, disputes will be resolved in the state or federal courts located in Hudson County, New Jersey, or by binding arbitration as set out in your service agreement, and you consent to that jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Your continued use of the website or services after the changes take effect means you accept the revised Terms.

20. General Provisions

  • Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce a right is not a waiver of that right.
  • Entire agreement: These Terms, your service agreement, and our Privacy Policy are the entire agreement between us on their subject matter.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign ours in connection with a business transfer.
